Terms and Conditions of Sale

These terms and conditions of sale ("Terms") apply to all sales made on keyspares.com.

Article 1 — Purpose and scope

These terms and conditions of sale ("Terms") govern distance sales made via keyspares.com (the "Site") between ⚠️ à compléter (LEGAL_ENTITY_NAME) (the "Seller") and any non-professional individual purchasing on the Site (the "Customer").

They apply, to the exclusion of any other document, to all sales made to consumers within the meaning of the French Consumer Code. Placing an order constitutes full and unreserved acceptance of these Terms, accessible at any time on the Site.

Article 2 — Products

The Seller offers replacement parts and accessories for Logitech MX Keys keyboards and compatible models, as well as a customization service (the "Configurator") allowing the Customer to configure a custom 3D-printed key.

The essential characteristics of each product appear on its product page, in accordance with Article L. 111-1 of the French Consumer Code; photographs have no contractual value.

Products from the Configurator are made to order, one at a time, according to the exact specifications chosen by the Customer (key, color, finish, engraved text); manufacturing only begins once the order is confirmed and paid.

Article 3 — Price

Prices are shown in euros, all taxes included. ⚠️ à compléter (LEGAL_VAT_STATUS).

The Seller may change its prices at any time; only the price shown on the day the order is placed applies. Delivery fees, detailed in Article 6, are added to the product price and shown before the order is confirmed.

Article 4 — Order process

The Customer adds the chosen products to the cart, then confirms the order after reviewing the cart contents, total price and payment method before final confirmation.

The order is only definitively formed once the Seller receives payment confirmation from PayPal. A confirmation page summarizing the order is then shown to the Customer, and PayPal also sends a transaction receipt to the email address associated with the Customer's PayPal account; the Customer is advised to keep these records.

The Seller reserves the right to refuse or cancel any order for a legitimate reason, in particular in the event of a prior dispute or product unavailability.

Article 5 — Payment

Payment is made exclusively via PayPal (PayPal balance or card processed by PayPal). The Seller does not collect, process or store any banking data on the Site: such data is entered solely on PayPal's secure infrastructure.

If authorization is declined, the order is automatically cancelled.

Article 6 — Delivery

Products are shipped from the European Union worldwide, within 24 business hours of payment confirmation. Indicative timeframes: 3 to 7 business days for France and Europe, up to 3 weeks for the rest of the world.

If delivery does not occur within the stated timeframe, the Customer may, after a formal notice remaining unanswered within a reasonable additional period, terminate the contract. Risk transfers to the Customer upon physical taking of possession of the product.

For orders containing a bulky item, delivery is made to a Mondial Relay pick-up point in served countries; the Site checks coverage before the order is confirmed.

Article 7 — Right of withdrawal

Under Articles L. 221-18 et seq. of the French Consumer Code, the Customer has 14 clear days from receipt of the product to exercise the right of withdrawal, without giving reasons and without cost other than as provided under Articles L. 221-23 to L. 221-25.

7.1 Exercising this right. The Customer notifies the decision through an unambiguous statement (email to contact@keyspares.com, or the model form below sent to the Seller at the address shown in the Legal Notice).

7.2 Return and refund. The Customer returns the product no later than 14 days after notifying the decision; direct return costs are borne by the Customer. The Seller refunds all sums paid (including the initial standard delivery cost) no later than 14 days after being informed of the decision, though the refund may be withheld until the product is received or proof of shipment is provided. Refunds are made via PayPal, unless otherwise agreed.

7.3 Exception — personalized products (Configurator). Under Article L. 221-28, 3° of the French Consumer Code, the right of withdrawal does not apply to goods made to the consumer's specifications or clearly personalized. Custom 3D-printed keys ordered via the Configurator (choice of key, color, finish and, where applicable, Customer-specific engraved text) are clearly personalized goods: made to order, one at a time, they cannot be resold as-is. Configurator orders are therefore not eligible for the 14-day statutory right of withdrawal. The Customer is informed of this before confirming, on the Configurator page and in the order summary. This exclusion applies only to the right of withdrawal; the legal warranties in Article 8 remain fully applicable to these products in the event of a defect.

7.4 The model withdrawal form appears below. It does not apply to the orders referred to in 7.3.

Article 8 — Warranties

8.1 "30-day money-back" commercial guarantee. Independently of, and without replacing, the legal warranties below, the Seller offers a 30-day contractual guarantee from receipt: the Customer may return any product, including without giving a reason, for a full refund, by contacting contact@keyspares.com. This commercial guarantee, longer than the statutory right of withdrawal (Article 7), is in addition to it without changing its conditions or those of the legal warranties. It does not apply to Configurator orders, which remain in any event covered by the legal warranties below in case of a defect.

8.2 Legal guarantee of conformity. Under Articles L. 217-3 et seq. of the French Consumer Code, the Seller is liable for defects of conformity existing at delivery and appearing within two years of delivery; any defect appearing within 24 months is presumed to have existed at delivery, unless proven otherwise. The Customer chooses between repair and replacement (Art. L. 217-9), subject to a cost not manifestly disproportionate for the Seller.

8.3 Legal guarantee against hidden defects. Under Articles 1641 to 1649 of the French Civil Code, the Seller is liable for hidden defects that render the goods unfit for their intended use, or that so diminish that use that the Customer would not have purchased them, or would have paid a lower price, had the defect been known. The Customer chooses between rescission of the sale or a price reduction (Art. 1644), within two years of discovering the defect (Art. 1648).

8.4 Making a claim. For any warranty claim, the Customer contacts contact@keyspares.com describing the defect and, where possible, attaching proof of purchase and a photograph.

Article 9 — Liability

The Seller cannot be held liable for non-performance due to stock shortage, force majeure, disruption of postal services, misuse or normal wear of the product, nor for damage inherent to the use of the internet (service interruption, intrusion, viruses).

Article 10 — Retention of title

The Seller retains ownership of the products until full payment of the price. Risk transfers in accordance with Article 6, independently of the transfer of ownership. Since payment is collected in full before shipment (Article 5), this clause has no practical effect for normally paid orders.

Article 11 — Intellectual property

The content of the Site is protected under the terms described in the Site's Legal Notice.

Article 12 — Personal data

Customer data is processed in accordance with the Site's Privacy Policy, in compliance with the GDPR and French law n° 78-17 of 6 January 1978, as amended.

Article 13 — Consumer mediation

Under Articles L. 616-1 and R. 616-1 of the French Consumer Code, in the event of a dispute, and after a prior written request to the Seller (contact@keyspares.com) that has not received a satisfactory response, the Customer may use, free of charge: ⚠️ à compléter (LEGAL_MEDIATOR_NAME) — ⚠️ à compléter (LEGAL_MEDIATOR_URL).

A referral is only admissible for a dispute not already brought before a court, within one year of the written complaint.

Article 14 — Governing law and disputes

These Terms are governed by French law, without depriving a Customer resident in another EU member state of the protection of the mandatory provisions of their country of residence (Art. 6 of Regulation (EC) n° 593/2008 "Rome I").

The Customer is invited to seek an amicable solution, including through mediation (Article 13), before any legal action.

Privacy Policy

This policy describes how ⚠️ à compléter (LEGAL_ENTITY_NAME) processes the personal data of visitors and customers of keyspares.com, in accordance with the General Data Protection Regulation (GDPR) and French law n° 78-17 of 6 January 1978, as amended.

1. Data controller

2. Data collected

When placing an order: name, delivery address, email — provided by PayPal at the time of payment, as the Site itself has no contact-details form; for a Configurator order, the chosen customization specification is also recorded.

When contacting us by email: the information voluntarily provided by the Customer.

When browsing: audience-measurement data (see section 5).

No banking data is collected, processed or stored by the Site: it is entered solely on PayPal's infrastructure.

3. Purposes

Managing and fulfilling orders (preparation, shipping, tracking, after-sales support, returns, warranties); responding to email inquiries; complying with accounting and tax obligations; where applicable, audience measurement to improve the Site.

4. Legal basis

Order-related processing: performance of a contract (Art. 6.1.b GDPR). Accounting/tax obligations: legal obligation (Art. 6.1.c). Audience measurement: legitimate interest (Art. 6.1.f) where the tool used does not set a tracker requiring consent; otherwise, prior consent (see section 5).

5. Audience measurement

The Site uses a self-hosted audience-measurement tool, Rybbit ({{ANALYTICS_HOST}}), which does not set a cookie: it uses browser local storage (localStorage) for a technical identifier. Visitors may opt out at any time via the tool's built-in opt-out option.

⚠️ Configuration to confirm before publication: whether this tool's session-replay feature is enabled for this Site must be verified on the Rybbit dashboard to finalize the exact wording of this section.

6. Recipients

Authorized Seller staff; PayPal (Europe) S.à r.l. et Cie, S.C.A., the payment provider, which processes payment and delivery data under its own privacy policy (paypal.com); the Site's host, HOSTINGER INTERNATIONAL LTD. No data is sold or rented to third parties for commercial purposes.

7. Transfers outside the European Union

PayPal may transfer certain data outside the European Economic Area (in particular to the United States) as part of its own processing, under standard contractual clauses or an equivalent safeguard according to PayPal — see PayPal's own privacy policy for details. Depending on the location of the Site's host and database, a transfer outside the EU may also occur, under the same safeguards.

8. Data retention

Order data: for the duration of the business relationship and legal warranties, then archived for 10 years from the close of the relevant accounting year (Art. L. 123-22 of the French Commercial Code and L. 102 B of the Tax Procedures Code).

Simple contact data with no commercial follow-up: for the duration of handling the request, then a maximum of 3 years.

Individualized audience-measurement data: a maximum of 13 months.

9. Security

Exchanges with the Site are encrypted (HTTPS/TLS) and access to the database is restricted to authorized staff.

10. Your rights

Under Articles 15 to 22 of the GDPR, you have the right to access, rectify, erase, restrict, port your data, object on legitimate grounds, and to define directives regarding your data after your death.

These rights may be exercised by email at contact@keyspares.com or by post at the address shown in the Legal Notice, providing proof of identity. We respond within one month, extendable by two months for complex requests.

You also have the right to lodge a complaint with the French data protection authority (CNIL) — 3 Place de Fontenoy, TSA 80715, 75334 Paris Cedex 07, France — www.cnil.fr — or with your own national supervisory authority if you reside in another EU member state.
